2008 Business Law Roundtable

Corporate Shareholders in 2008; New Roles, New Rules?

Each Scholar will receive a $500 Scholarship*

Each spring, Lewis & Clark Law School hosts the Business Law Roundtable. The Roundtable is an exciting opportunity for students and faculty to meet with leaders of the business community and members of the practicing bar to discuss important business and legal issues of the day. Together with faculty, student scholars plan a series of three discussions, select reading materials, and participate in each of the discussions. Scholars also attend the receptions following each discussion and the annual Spring Luncheon celebrating the Scholars and all Business Law Program participants throughout the year. In 2008, our topic will be “Corporate Shareholders in 2008; New Roles, New Rules?” A Description of this year’s topics is below. The Roundtable is a wonderful opportunity for students to work with community leaders in shaping discussions on important and timely topics.

Student Selection

A committee comprised of members of the Business Law Faculty will select up to 10 students to be Roundtable Scholars. Any student who has completed the first year of law school is eligible to participate, but preference will be given to those students in their final year of law school who have emphasized business law in their course selection. Each Round Table Scholar must attend the initial planning meeting, assist in selecting reading materials and planning the discussion for one Roundtable session, and attend all three sessions of the Roundtable.

To Apply

Submit to the Registrar’s Office a one page cover letter expressing interest, plus a resume, addressed to Lisa LeSage, Associate Dean, Business Law Programs, no later than 5 PM Friday, October 26, 2007. (Important: please indicate in your cover letter the classes you have signed up to take spring semester, 2008). Selected Student Roundtable Scholars must attend a planning meeting on Wednesday November 28 at noon.

Roundtable Schedule and Topics

Our series of three Roundtables sessions will explore the complex, emerging issues related to shareholder activism, from the perspectives of shareholders, corporate board members, and lawyers.

Session One: Friday, February 22, 2008

“The Activist Investor”: There are myriad groups of investors out there - hedge funds, private equity, institutional, and retail. They all may have different demands on a company’s leadership, including wanting to have a stake in it. This session will explore these dynamic roles from the shareholders’ point of view.

Session Two: Friday, March 14, 2008

“The Business of Class Actions”: Class actions are big business. They cost companies millions of dollars a year, and can create chaos for public corporations. This session explores the unique roles of corporate board members, shareholders, plaintiffs’ and defense attorneys in these high-stakes disputes.

Session Three: Friday, April 11, 2008

“Corporate Governance and Investor Relations”: This session will explore the dynamics of board relationships with investors, including unique challenges when dealing with activist investors, considerations in dealing with institutional investors, and best practices, from the board’s point of view.
