Environmental Practice Seminar: Business Transactions*

This seminar is appropriate for students with familiarity with basic environmental law. Students with no prior exposure to environmental law should register instead for "Business Transactions Seminar: Environmental Issues." This seminar will examine environmental issues that arise in business transactions involving regulated entities. Through case studies and participation in mock transactions, the seminar will examine issues involving identification, evaluation and allocation of environmental risks in the context of business transactions, including sale, purchases and development of real property, and purchase and sale of business entities. The seminar will cover practical skills such as identifying environmental risks, deciphering technical reports, performing transactional due diligence, and working with technical consultants and regulatory agencies. Students should be committed to a high level of participation both in and out of the classroom. Students will be graded based on class participation, and individual and a group project, and a short final exam.

The seminar will count towards both the Certificate in Environmental & Natural Resources Law and the Certificate in Business Law.

Prerequisite: Environmental Law (or instructor permission).

Grading: Written work product and classroom participation.
