Small Business Legal Clinic - Fact Sheet
The Lewis & Clark Law School Small Business Legal Clinic provides low-income, minority and women-owned businesses with transactional legal assistance. Law students, working under the supervision of an experienced business transactions legal instructor, will provide transactional legal services. In addition, the clinic will coordinate a network of local business transactions attorneys who will provide free legal services to low-income business clients at the clinic.
Services: The Legal Clinic will provide transactional legal assistance only, not litigation. Some of the matters students and attorneys may assist clients with include the following:
Choice of entity and entity creation (including drafting of articles of incorporation and organization, bylaws, and partnership agreements)
Contract review and drafting (real estate and leases, non-competition and employment contracts, franchises, licensing agreements)
Debt Problems (obtaining, reviewing and correcting credit reports)
Business Financing (review of lending contracts and advice about loans)
Compliance with consumer, licensing and regulatory issues
Copyright and trademark creation
Clients: Due to high demand, the clinic is only able to assist a small number of eligible clients. To be eligible for services, clients must have a written business plan.
